Job Title: Corporate Finance Manager

Location: Telford (hybrid)

Basic salary: £45,000 - £55,000 depending on experience

Type: Permanent

An exciting and growing online professional services business is recruiting a Corporate Finance Manager on a permanent basis. The main responsibility of the role is to assist Group Heads with origination and execution of M&A activity and be the financial lead on due diligence, as well as pre and post-acquisition financial processes.

Responsibilities:

• Management of all due diligence and ongoing reviews on acquisitions
• Completion statements, reconciliations, and opening balance adjustments
• Responsible for the financial M&A activity of the business including:
  • The research of targets and creating of internal justification documents
  • Head of Terms negotiation
  • Due Diligence processes with support from external advisors
  • Support the agreement of the Share/Asset Purchase Agreement
• Management of funding and financing for acquisitions
• Lead and support resolution of any legal disputes e.g. supplier claims, Bad debt recovery, NDAs
• Lead the cross functional M&A project integration team to ensure all acquired businesses are integrated into the business
• Attend on date of completion to explain processes and manage the transition
• Working closely with the Finance Director to develop and implement strong financial controls and improve existing processes with internal and external partners

The ideal candidate will have:

• ACA/ACCA/CIMA qualified or equivalent, preferably 3 years post qualification experience
• Proven experience in all areas of M&A financial work
• Proven experience and understanding of financial statements/balance sheets
• Ideally have at least 3 years financial experience of joint ventures, mergers, prepack administrations, shareholder and asset purchase agreements, business start-ups
